1.This agreement
These terms govern your use of wørkit. By creating a workspace, joining one, or using the platform in any way, you accept them. If you accept on behalf of an organisation, you confirm you are authorised to bind it, and “you” then means that organisation.
If your organisation has signed a separate written agreement with us, that agreement takes precedence wherever the two conflict.
2.What wørkit provides
Wørkit is a hosted platform for running internal projects and client engagements: project hierarchy and scheduling, capacity planning, messaging, documents, approvals, agreements, and shared spaces with other organisations.
We improve the platform continuously and may add, change or remove features. If we remove something material, or make a change that meaningfully reduces functionality you rely on, we will give administrators reasonable notice first.
3.Accounts and workspaces
- A workspace is owned by the organisation that created it. That organisation’s administrators control membership, roles and permissions, and can view, change or delete anything within it.
- You are responsible for the accuracy of your account details and for activity under your account. Tell us promptly if you believe it has been compromised.
- Do not share credentials or let anyone else use your account. Each person who uses wørkit needs their own.
- An administrator can remove your access at any time. If your employment ends, expect to lose access to that workspace.
4.Shared spaces with other organisations
Wørkit lets two organisations collaborate in a shared space while each keeps its own tenancy. This is central to how the product works, so the rules are explicit.
- The host organisation owns the space and controls its lifecycle. It decides what an invited organisation may do, but never who that organisation’s people are.
- An invited organisation joins only when its own administrator accepts, and staffs its own side. Its people, rates and other engagements remain invisible to the host.
- Anything you place in a shared space becomes visible to the other organisation’s authorised members. Treat a shared space as shared, and do not put anything in one you are not permitted to disclose.
- Either side may end participation: the host by revoking the grant, the guest by leaving. Content already shared remains in the space, which the host owns.
5.Your content
You own what you put into wørkit. We claim no ownership of your projects, documents, messages or any other content.
You grant us only the licence we need to operate the service — to store, process, transmit and display your content so the platform can show it to the people you have shared it with, and to back it up. This licence ends when you delete the content or close the workspace.
You are responsible for having the right to upload what you upload, and for making sure it does not infringe anyone else’s rights or break the law.
6.Acceptable use
You may not:
- Break the law, or use wørkit to help someone else do so.
- Upload malware, or anything designed to damage or interfere with a system.
- Attempt to access another organisation’s data, probe or circumvent our access controls, or test the platform’s security without our written permission.
- Reverse engineer, scrape or copy the platform, or resell access to it.
- Overload the service — automated bulk requests, denial-of-service traffic, or use that degrades it for others.
- Harass, threaten or impersonate anyone.
- Remove or obscure any proprietary notice.
We may suspend access immediately where use threatens the platform or another customer. Where circumstances allow, we will tell you first.
7.Third-party connections
Connecting Google, Slack, Microsoft Teams, GitHub, Jira, your own AI provider or your own storage is optional. Each remains governed by its own provider’s terms, and we are not responsible for their availability, accuracy or conduct. You are responsible for having the authority to connect an account, and for the credentials you supply. Disconnect at any time.
8.Fees and billing
- Paid plans are billed in advance on the cycle shown at purchase, and renew automatically until cancelled.
- Paid plans are a flat price per workspace. Seats are unlimited, and inviting another organisation into a shared space costs neither side anything.
- Fees exclude taxes, which are added where applicable.
- Cancel at any time. Cancellation takes effect at the end of the billing cycle you have paid for, and access continues until then. Part-months are not refunded, and payments already made are non-refundable except where the law requires otherwise.
- We may change pricing with at least 30 days’ notice before it applies to your next renewal.
- Unpaid fees may lead to suspension. We will give notice and a reasonable chance to settle before suspending.
9.Ending the agreement
You may stop using wørkit and close your workspace at any time. We may terminate or suspend for a material breach of these terms, for non-payment, or if required by law.
Closing a workspace starts a 30-day window. The workspace keeps working during it, and an administrator can take a full export from settings or cancel the closure. When the window ends we permanently delete the workspace, its files and the shared spaces it owns, and remove your organisation from spaces it joined. Copies in our daily backups are overwritten within a further 14 days. Deleted data cannot be recovered, and returning later starts a new workspace.
10.Warranties and liability
Wørkit is provided “as is”. To the fullest extent the law permits, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant the service will be uninterrupted or error-free.
To the fullest extent the law permits, we are not liable for indirect, incidental, special or consequential damages, nor for lost profits, revenue, goodwill or data. Our total aggregate liability is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
Nothing here excludes liability that cannot lawfully be excluded, and some jurisdictions do not allow the exclusions above, in which case they apply only as far as the law permits.
11.General
We may update these terms; the date at the top will change and administrators will be notified before material changes take effect. Continuing to use wørkit means accepting the revised terms.
If a provision is unenforceable, the rest stands. Not enforcing a right is not a waiver of it. You may not assign this agreement without our consent; we may assign it as part of a merger or acquisition.
